By accessing and using Quint Ally Teams ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Quint Ally Teams is a gamified task management platform that enables organizations to link employee performance directly to compensation through a points-based system. The Service includes task management, performance tracking, gamification features, and analytics.

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

4. Subscription and Payments

Quint Ally Teams operates on a subscription basis with the following pricing structure:

• Starter Plan: $5 per teammate per month
• Quint Ally Gold: Free with Quint Ally Gold membership (up to 50 teammates)
• Enterprise: Custom pricing for organizations with 50+ users

Payment is due monthly in advance. We reserve the right to change pricing with 30 days notice.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service's functionality
• Use the Service for any fraudulent or deceptive practices

6. Data and Privacy

Your privacy is important to us. Our use of your data is governed by our Privacy Policy, which is incorporated by reference into these Terms. You retain ownership of all data you submit to the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Quint Ally and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may temporarily suspend the Service for maintenance, updates, or other operational reasons with reasonable notice.

9. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be immediately suspended
• You may export your data within 30 days of termination
• We may delete your data after the 30-day period
• No refunds will be provided for prepaid subscription fees

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUINT ALLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
